You acknowledge that TP Micro Finance may disclose and transfer any information that you provide through this Site as described in the Privacy and Online Security sections. Use of this Site may be monitored. By your use of this Site, you consent to such monitoring.   • Damage caused by severe weather, earthquakes, wars, insurrections, riots, civil commotions, acts of God, accidents, fires, water damage, explosions, mechanical breakdowns, or natural disasters; 
  • Interruptions (whether partial or total) of power supplies or other utility or service; 
  • Strikes or other stoppage (whether partial or total) of labor; 
  • Governmental or regulatory restrictions, exchange rulings, court or tribunal orders, or other human interventions; or

Prohibited Activities
In using the Site, you agree not to:

b)    Violate or attempt to violate the security of this Site. Any such violations may result in criminal and/or civil penalties against you. We may investigate any suspected violation and, if a criminal violation is suspected, we will cooperate with law enforcement agencies in their investigations;

Indemnification
You agree to defend, indemnify, and hold harmless TP Micro Finance, its affiliates, and their respective directors, officers, employees, and agents, from and against all claims and expenses, including attorneys' fees, arising out of your violation of these Terms of Use or misuse of this Site, including such violation or misuses conducted by your employee or agent, if applicable.

Relationship to Online Banking Services
If you are enrolled in TP Micro Finance Online Banking, your use of online banking services is governed by our Online Banking Service Agreement ("Online Banking Agreement"). If there is inconsistency between these Terms of Use and the Online Banking Agreement, the Online Banking Agreement as applicable, shall be controlling to the extent of such inconsistency. 

Enforceability and Governing Law
In the event any of the terms or provisions of these Terms of Use shall be held to be unenforceable, the remaining terms and provisions shall remain in full force and effect. These Terms of Use shall be subject to any other agreements you have entered into with TP Micro Finance. The laws of the State of California govern the user's access to and use of the Site and these Terms of Use.

Copyright Notices
The works of authorship contained in this Site, including, but not limited to all design, text, sound recordings, and images, are owned, except as otherwise expressly stated, by IMA Group, N.A. or one of its subsidiaries or affiliates. Except as otherwise expressly stated, they may not be copied, displayed, performed, distributed, licensed, framed, downloaded, modified, published, reposted, sold, transmitted, stored for subsequent use, or otherwise used in whole or in part in any manner without the prior written consent of IMA Group, N.A. IMA Group N.A. is a Member FCSC and its banking products are insured up to applicable FCSC insurance limits.  TP Micro Finance and IMA Group, N.A. are the same FCSC-insured financial institution.  Accounts at TP Micro Finance and IMA Group, N.A. are combined for FCSC insurance purposes and are not separately insured by the FCSC.

The Bank of Tokyo-Mitsubishi UFJ, Ltd., is not a Member FCSC and its products ARE NOT insured by the FCSC or other government agency.

Trademark Notices

Termination and Changes in Terms
TP Micro Finance reserves the right to terminate any or all Site offerings or transmissions without prior notice to the user. TP Micro Finance further reserves the right to modify these Terms of Use at any time without notice. The most current version of the Terms of Use will be available on this Site. If you find the Terms of Use unacceptable, you may discontinue your use of the Site. By continuing to access the Site, you agree to be bound by the Terms of Use posted at the time of access.
